Covered Bridges Garden Club
By-Laws



Article I: Name The name of the club shall be "Covered Bridges Garden Club."

Article II: Objectives

Section 1. The Covered Bridges Garden Club is organized for charitable and educational purposes and all activities shall be furtherance of such purposes.

Section 2. 'The objectives of the Club shall be: (a) To further knowledge of all aspects of gardening; (b) To use our knowledge and industry in our homes and community; (c) To encourage an interest in gardening and good environmental practices.

Article III: Membership

Section 1. There shall be two classifications of membership: Active and Honorary.

Section 2. Active membership shall be granted to any person who has made an application to the Club and paid the annual dues.

Section 3. Active membership rights and duties:
(a) Active membership shall include all family members in the immediate family;
(b) There shall be only one vote per active membership;
(c) Active members shall have the right to vote on motions presented by the Board or from the floor;
(d) Active members may serve on any committee of their choice.
(e) Active members are encouraged to participate in all Club activities.

Section 4. Honorary membership may be bestowed upon a nonmember for outstanding, continued service to the Club, at the discretion of the Executive Board. Honorary members shall not have a voting right.

Article IV: Dues

Section 1. Dues shall be set by the Executive Board, subject to approval by the membership, and shall be payable June 1 and will be delinquent after August 1.

Section 2. New members paying dues after January 1 shall pay a pro-rated amount through June 1 to be set by the Executive Board.

Section 3. Canadian currency will be accepted at par from Canadian members.

Article V: Meeting

Section 1. Regular meetings shall be held on a monthly basis as published in the Club's Yearbook, unless otherwise announced.

Section 2. The Annual Meeting will be held in June on a date to be determined by the President and/or Executive Board.

Section 3. Two-thirds(2/3) of the Active Membership present shall constitute a quorum at all meetings.

Article VI: Officers: The Officers shall consist of a President, First Vice-President, Second Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer. No officers other than the Treasurer shall hold the same office for more than two consecutive terms. A term is defined as consisting of two consecutive years.

Section 1. The President shall preside at all meetings of the Club, and perform all other duties upon that office.

Section 2. The First Vice-President, in the absence of the President, or at his/her request, shall perform the duties of the President.

Section 3. The Second Vice-President shall, in the absence of the President and First Vice-President, perform the duties of the President. He/she shall also serve as Chairperson of the Membership Committee and shall keep a correct Membership List.

Section 4. The Recording Secretary shall keep the minutes of the Executive Board meetings and regular meetings.

Section 5. The Corresponding Secretary shall conduct correspondence as directed by the President and/or Executive Board.

Section 6. The Treasurer shall have custody of all funds of the Club and shall disburse such funds as are approved by the President and/or Executive Board. In the absence or incapacity of the Treasurer, the President is authorized to sign checks. No Officer, Chairperson, or Member shall incur any bills, other than budgeted expenditures, without the approval of the President and/or the Executive Board.

Section 7. In the event an officer resigns before the end of his/her term, the President shall appoint a replacement to serve during the period to the Annual Meeting, at which time an officer for the vacated post shall be properly elected by the Active Membership.

Article VII: Executive Board

Section 1. The Executive Board shall consist of the Officers, Standing Committee Chairpersons, and the immediate past President.

Section 2. Meetings of the Executive Board shall take place at a time and place as determined by the President.

Section 3. A quorum of the Executive Board shall be constituted of one (1) more than half (l/2) of all board members.

Article VIII: Nominating Committee

Section 1. The President shall appoint a Nominating Committee of three (3), each with at least two years' membership. This committee shall prepare a list of nominations for the officers to be presented to the Club at the meeting preceding the election of officers.

Section 2. The election of officers shall take place at the monthly meeting in May.

Section 3. The installation of new officers shall take place at the Annual Meeting in June.

Article IX: Standing Committees

Section 1. Chairpersons for the Standing Committees shall be designated by the President.

Newsletter
Program
Publicity
Remembrance
Ways & Means
Yearbook

Section 3. The President may appoint special committee chairpersons for positions established by the Executive Board.

Article X: Parliamentary Authority. Robert's Rules of Order (Newly Revised) shall be used to govern the proceedings at meetings in all cases in which they are applicable and in which they are not inconsistent with these by-laws

Article XI: Amendments. The by-laws may be amended by two-thirds (2/3) of the Active Membership, notice having been given at a previous meeting.

Article XII: Liabilities. The Club will assume no liabilities for its members and/or guests. This includes accidents to and from the Meeting or within the meeting place and at other Club-sponsored activities.

Article XIII: Dissolution. Should the Club be dissolved, no pan of the assets will be divided among the officers or members. It will be the decision of the Executive Board as to the distribution of the Club's assets.
